    General Terms of Service

    Legal information and purpose of these General Terms of Service

    These General Terms of Service of Ecomeo OÜ (hereinafter "General Terms of Service") — whose full contact details are available in the General Terms of Use, accessible from the website footer.

    (hereinafter "Paduril") — are intended to define the rights and obligations of Paduril and the Subscriber (as defined below) in the context of the paid services accessible from the website paduril.com (hereinafter the "Site") published and operated by Paduril.

    The terms of use of the Site and the free services accessible from it are defined in the General Terms of Use of Paduril, accessible from the website footer.

    The terms for the sale of products from the Site are defined in the General Terms of Sale of Paduril, accessible from the website footer.

    The Subscriber service of Paduril can be reached by email at contact@paduril.com.

    Paduril reserves the right to modify these General Terms of Service at any time and will notify the Subscriber one (1) month before they come into force. A Subscriber who refuses these modifications may cancel their Subscription under the conditions set out in these General Terms of Service within one (1) month from the notification.

    Definitions

    The following terms, whether used in the singular or plural in these General Terms of Service, shall have the following definitions:

    • Subscriber: refers to any natural person aged at least 18, entering into a contract with Paduril in order to benefit from a Subscription for their personal needs;
    • Subscription: refers to the contract subscribed to by the Subscriber with Paduril in order to benefit from Specific Services under the conditions set out in these General Terms of Service.
    • General Terms of Service: refers to these General Terms of Service;
    • Privacy Policy: refers to the privacy and personal data protection policy for Subscribers implemented by Paduril and accessible from the website footer, which forms an integral part of these General Terms of Service;
    • Account: refers to the account created by the Subscriber on the Site and accessible by means of a username and password;
    • Personal Data: refers to the personal data of the Subscriber collected and processed by Paduril in the context of the Subscription, under the conditions and procedures as defined in the Privacy Policy;
    • Withdrawal Form: refers to the form allowing the Subscriber to exercise their right of withdrawal from the Subscription;
    • Specific Services: refers to the features and services as determined in the article "Subscription terms and conditions" made available to Subscribers and accessible from the Site, subject to the creation of an Account, payment of the Subscription price and acceptance of these General Terms of Service;
    • Site: refers to the website published by Ecomeo OÜ, accessible in particular via the URL paduril.com;
    • Paduril: refers to the company Ecomeo OÜ, whose registered office is at Lõõtsa tn 2a, 11415 Tallinn, Estonia, registered under number 16563515.

    Presentation of the Subscription and Specific Services

    Any Subscriber may access the Specific Services on an unlimited basis for the entire duration and validity of their Subscription, subject to effective payment by the Subscriber of the Subscription price under the conditions set out in these General Terms of Service and the creation of an Account.

    The Specific Services are accessible exclusively from the Subscriber's Account.

    Among the Specific Services, Paduril offers Subscribers member benefits such as discounts of up to 50% on all products available in the store and free shipping. The Subscriber receives confirmation of their username and password by email at the time of the order.

    All Specific Services are detailed in the Subscriber's Account.

    The Subscriber is free to cancel their Subscription from their Account at any time.

    Subscription terms and conditions

    Prior registration by creating an Account on the Site

    In order to subscribe, the Subscriber must place an order on the Site and complete the information requested, in particular their Personal Data.

    It is specified that the Subscription, which confers various benefits and discounts, cannot be purchased independently and must be associated with the purchase of another product.

    Upon validation of the order, the Subscriber receives a confirmation email. The Subscriber will also receive an email containing their login details.

    Only one Account per person (same surname, same first name, same email address) will be permitted.

    The Subscriber warrants the accuracy, sincerity and reliability of the information provided, in particular their Personal Data.

    The Subscriber provides in particular a single valid and functional email address, which will be a means of communication between them and Paduril.

    The Subscriber may also, without specific obligation, provide their telephone number, in which case we remind them of their right to register on a telephone marketing opt-out list.

    The Subscriber is therefore responsible for updating any change of contact details via their Account accessible on the Site at any time and as soon as possible.

    Consequently, Paduril cannot be held liable for the Subscriber's failure to exercise due diligence when subscribing, modifying and updating their Personal Data, and consequently for incorrect contact details and their effects on the Subscription, in particular access to the Specific Services.

    The Subscriber accesses their Account using a username and password they create themselves when creating their Account. The Subscriber is solely responsible for using these identification elements and is required to keep them secret. Paduril cannot be held liable for the loss or theft of these identification elements.

    These elements may only be modified at the initiative of the Subscriber or Paduril in the event of a forgotten password by the Subscriber, upon written request.

    Order process

    The Subscriber must visit the Site and subscribe to the Subscription in the appropriate section thereof.

    The Subscriber then completes the information requested.

    They expressly accept the terms of the General Terms by ticking the corresponding box.

    They proceed to pay the Subscription amount by bank card.

    The Subscription subscribed to by the Subscriber will only be final upon effective payment by the Subscriber.

    Confirmation of Subscription by Paduril

    Every Subscription taken out by a Subscriber on the Site is subject to an immediate written confirmation from Paduril, sent by email to the Subscriber.

    Subscription Duration

    The Subscription has a duration of 30 days, automatically renewable for an indefinite period and gives rise to a monthly payment under the conditions of Article VII.

    In order to retain the current month, the cancellation request must reach Paduril no later than the 15th of the current calendar month.

    A cancellation request received by Paduril after the 15th of the month (or if the automatic payment of the monthly Subscription price is in progress or has been made) can only be taken into account from the following calendar month.

    The cancellation request is made via the contact form accessible on the website under the "contact" section, by submitting a Subscription cancellation request, or directly by email to: contact@paduril.com

    This cancellation request takes effect from receipt by the Subscriber of Paduril's email acknowledging receipt of the request.

    If the cancellation request is made while the automatic payment of the monthly Subscription price is in progress or has been made, access to the Specific Services corresponding to that payment is extended and cancellation only takes effect from the following month.

    Early Termination – Account Deactivation

    In the event of the Customer's failure to comply with any of the obligations under the General Terms of Service and/or General Terms of Use, including payment difficulties and/or fraud or attempted fraud relating to the Specific Services, Paduril reserves the right, without prior notice, to suspend access to the Subscription or, depending on the severity of the acts, to cancel the Subscription and/or deactivate the Customer's Account without any claim for damages by the latter.

    Paduril reserves the right to refuse to contract with a user who has been excluded or sanctioned for such actions.

    Price and Payment

    The Subscription price is €37,90, inclusive of all taxes, as indicated on the Site.

    The Subscriber benefits from a 3-day trial period before being charged the subscription amount.

    Payment is made exclusively by bank card (CB, Visa, MasterCard) on the Site.

    Payments by PayPal, American Express, or any other means of payment will not be accepted.

    Payment is made on the Site through a secure banking platform managed by a third-party company. In this context, Paduril does not at any time have access to the Subscriber's payment information and cannot be held liable in the event of fraudulent use of the payment methods used.

    The Subscriber is informed that the Subscription price may be revised by Paduril at any time at its sole discretion.

    The Subscriber will be informed of these modifications by Paduril by email at least two (2) months before the new rates come into force.

    A Subscriber who does not accept the new rate may cancel their subscription in accordance with the procedures set out in Article V of these General Terms of Service.

    The Subscriber agrees to a monthly payment in an amount defined when placing the order. As long as the Subscription continues, the Subscriber will be automatically charged this sum between the 1st and 31st of the month and will have unlimited and uninterrupted access to the Specific Services.

    The Subscriber undertakes to take all necessary measures to ensure that the automatic monthly payment of the Subscription price can be made each month under the conditions set out in this article.

    Delivery

    The Specific Services are immediately accessible to the Subscriber upon full payment of the Subscription, from the Subscriber's Account on the Site.

    Access to the Specific Services is immediate from the Subscriber's Account on the Site upon subscription. Including during the 3-day trial period.

    Right of Withdrawal

    In accordance with the provisions of:

    • Article L. 221-9 of the Consumer Code:

    "The trader shall provide the consumer with a dated copy of the off-premises contract, on paper signed by the parties or, with the consumer's agreement, on another durable medium, confirming the express commitment of the parties.

    This contract shall include all the information required by Article L. 221-5.

    The contract shall, where applicable, indicate the consumer's express agreement for the supply of digital content not on a tangible medium before the expiry of the withdrawal period and, in that case, their waiver of their right of withdrawal.

    The contract shall be accompanied by the standard withdrawal form referred to in Article L. 221-5(2)."

    • Article L. 221-13 of the Consumer Code:

    "The trader shall provide the consumer, on a durable medium, within a reasonable time after the conclusion of the contract and at the latest when the goods are delivered or before the performance of the service begins, with confirmation of the contract comprising all the information set out in Article L. 221-5, unless the trader has already provided this information on a durable medium before the conclusion of the contract. The contract shall be accompanied by the standard withdrawal form referred to in Article L. 221-5(2).

    Where applicable, the trader shall provide the consumer, under the same conditions and before the expiry of the withdrawal period, with confirmation of their express consent to supply digital content not provided on a tangible medium and their waiver of their right of withdrawal."

    • Article L. 221-26 of the Consumer Code:

    "A consumer who has exercised their right of withdrawal from a contract for the supply of digital content not provided on a tangible medium shall not owe any amount if:

    1° The trader has not obtained their prior express agreement for the performance of the contract before the expiry of the withdrawal period, together with proof of their waiver of their right of withdrawal;

    2° The contract does not include the provisions referred to in the third paragraph of Article L. 221-9 and the second paragraph of Article L. 221-13."

    • Article L. 221-28 of the Consumer Code:

    "The right of withdrawal may not be exercised for contracts:

    (...)

    For the supply of digital content not provided on a tangible medium, the performance of which has begun after the consumer's prior express consent and express waiver of their right of withdrawal."

    A Subscriber wishing to exercise their right of withdrawal may choose to withdraw from their Subscription, without needing to state a reason, within fourteen (14) clear days from receipt of their login credentials to access the members' area of the site, by sending Paduril the duly completed Withdrawal Form by email or post.

    As soon as possible from receipt by the Subscriber of the Withdrawal Form evidencing the Subscriber's intention to exercise their right of withdrawal, Paduril acknowledges receipt to the Subscriber by email and suspends the Subscriber's access to the Specific Services.

    If the Subscriber wishes to benefit from the Specific Services, and hence their Subscription, without waiting the fourteen (14) days from subscription, Paduril will collect their express request by opt-in upon subscription.

    A Subscriber who exercises their right of withdrawal after having requested that the Subscription begin before the fourteen (14)-day period shall pay Paduril an amount corresponding to the Specific Services provided up until the communication of their decision to withdraw.

    This amount is invoiced on a pro-rata temporis basis of the Subscriber's use of the Subscription up until the communication of their decision to withdraw.

    Personal Data

    The Subscriber's Personal Data is processed in accordance with the Privacy Policy of Paduril, accessible from the website footer.

    Support – Complaints

    For any technical information, queries, or complaints regarding the Specific Services, the Subscriber is invited to send their request to the following email address: contact@paduril.com.

    Miscellaneous provisions

    Correspondence – Evidence

    Unless otherwise specifically provided in these General Terms of Service, correspondence exchanged between Paduril and the Subscriber is primarily conducted by email.

    Pursuant to Articles 1366 and following of the Civil Code, the Subscriber acknowledges and accepts that information delivered by Paduril by email constitutes proof between them and Paduril.

    Elements such as the time of receipt or transmission, as well as the quality of the data received, shall be evidenced in priority as they appear on the aforementioned media, or as authenticated by Paduril's computerised procedures, unless written and contrary proof is provided by the Subscriber.

    The evidentiary value of information delivered by the Site is that accorded to an original within the meaning of a paper written document, signed in manuscript form.

    Entirety of General Terms of Service

    These General Terms of Service express the entirety of the obligations of Paduril and the Subscriber relating to their subject matter. The fact that one party fails to invoke a breach by the other party of any of the obligations referred to herein shall not be interpreted in the future as a waiver of the obligation in question.

    Partial Invalidity

    In the event that one or more provisions of these General Terms of Service are considered null, deemed unwritten or declared as such pursuant to a law, regulation, or following a decision of a competent court with final authority, the other provisions shall retain their full force and effect and shall remain fully applicable, unless the invalid provision(s) were of a substantial nature and their removal called into question the contractual balance.

    Headings

    In the event of difficulty in interpreting any of the headings appearing at the beginning of clauses in these General Terms of Service and any of the clauses, the headings shall be declared non-existent.

    Applicable law and dispute resolution

    These General Terms of Service are governed by Estonian law.

    In the event of a dispute arising in connection with these General Terms of Service, their interpretation and consequences, or with any acts supplementing or amending them, the Subscriber shall contact Paduril with a view to seeking an amicable solution. Any complaint to Paduril must be made in writing.

    Failing an amicable resolution, the Subscriber may choose:

    • To seek an amicable mediation solution within a maximum period of one (1) year from the written complaint submitted by the Subscriber to Paduril, by engaging (i) a mediator of their choice, or (ii) by using the online dispute resolution system accessible at: https://commission.europa.eu/live-work-travel-eu/consumer-rights-and-complaints/resolve-your-consumer-complaint_fr, it being specified that the proposed mediation process shall not be a prerequisite for referring the matter to the competent courts;
    • To bring their complaint before the competent Estonian courts.

    Annex 1: Information on the exercise of the right of withdrawal

    You have the right to withdraw from these General Terms of Service without giving any reason within fourteen days.

    The withdrawal period expires fourteen days after the day of conclusion of the contract.

    To exercise the right of withdrawal, you must notify us, Ecomeo OÜ, Lõõtsa tn 2a, 11415 Tallinn, Estonia, by post or email at contact@paduril.com, of your decision to withdraw from this contract by means of an unambiguous statement (for example, a letter sent by post, fax, or email). You may use the model withdrawal form, but this is not mandatory. You may also complete and submit the model withdrawal form or any other unambiguous statement on our website.

    If you use this option, we will send you an acknowledgement of receipt of the withdrawal without delay on a durable medium (for example, by email).

    To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

    Effects of withdrawal

    If you withdraw from this contract, we will reimburse all payments received from you, including delivery costs (except for additional costs arising from your choice, if applicable, of a type of delivery other than the least expensive standard delivery offered by us), without undue delay and in any event no later than fourteen days from the day on which we are informed of your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

    If you requested that the performance of services begin during the withdrawal period, you shall pay us an amount proportional to what was provided to you up to the point at which you informed us of your withdrawal from these General Terms of Service, in proportion to the full scope of the services provided for in the General Terms of Service.
